3.2 Deliverables

Upon full payment, we assign rights in custom deliverables to you. We retain rights to generalized methodologies and tools.

4. User Obligations

• Use only for lawful purposes.
• No unauthorized system access.
• No malicious code or service interference.
• No automated scraping without permission.
• No impersonation or unauthorized data collection.

5. Client Responsibilities

• Provide accurate information and timely cooperation.
• Make payments per the agreed schedule.
• Maintain confidentiality.
• Comply with applicable laws.

6. Fees

As set in the Service Agreement. Non-refundable unless expressly provided. Net 30 days from invoice. Services may be suspended after 15 days of non-payment.

7. Confidentiality

Both parties protect proprietary information. Used only for intended purpose, with reasonable care and need-to-know access. Survives termination for five years.

8. Limitation of Liability

8.1 Disclaimer

Services provided "AS IS" without warranties.

8.2 Liability Cap

Total liability limited to amounts paid in preceding 12 months. No liability for indirect or consequential damages.

9. Indemnification

You indemnify us from claims arising from your violation of these Terms or applicable law.

10. Termination

Either party may terminate on 30 days' notice of uncured breach. We may immediately suspend access for violations or illegal activity.

11. Governing Law

Governed by PRC law. Disputes resolved through negotiation then CIETAC arbitration in Daqing, Heilongjiang.

12. Force Majeure

Neither party liable for failure due to circumstances beyond reasonable control.

13. General

These Terms constitute the entire agreement. We may modify; continued use constitutes acceptance. Invalid provisions severable.
